Terms of Service & End User License Agreement

These Terms of Service ("Terms") govern your access to and use of the Swiftvend mobile application, web dashboard, and related services (collectively, the "Service"). By installing, accessing, or using the Service, you agree to be bound by these Terms.

1. About Swiftvend

Swiftvend is a productivity and record-keeping tool for independent telco agents (including but not limited to mobile money agents, merchants, and shop owners) operating across Africa. Swiftvend helps agents automate USSD menu entry, track their transactions, and monitor their shop activity.

Swiftvend is not a financial institution. Swiftvend does not move, hold, process, or transfer funds. Swiftvend does not create, issue, or redeem mobile money, e-float, or any form of electronic value. All financial transactions remain between the user, their customers, and their chosen mobile network operator.

2. No Affiliation with Mobile Network Operators

Swiftvend is an independent product built by Swiftvend and its developers. Swiftvend is not owned by, operated by, affiliated with, endorsed by, or sponsored by MTN Group, MTN Mobile Money, Telecel Ghana, AirtelTigo, Vodafone, Safaricom, M-Pesa, Orange, 9mobile, or any mobile network operator or payment service provider.

All trademarks, service marks, logos, and brand names referenced within Swiftvend (including "MTN", "MoMo", "Mobile Money", "Telecel", "AirtelTigo", "M-Pesa") are the property of their respective owners. Swiftvend uses these names only for the purpose of nominative reference — to accurately describe the services with which our tool is compatible.

3. License Grant

Subject to your continued compliance with these Terms, Swiftvend grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your personal or internal business purposes. You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse-engineer or attempt to extract source code
• Use the Service to build a competing product
• Use the Service for any unlawful purpose

4. Your Responsibilities

You are solely responsible for:

• The accuracy of every mobile money transaction you perform through your device, including customer phone numbers, amounts, and PINs
• Complying with the terms of service of your mobile network operator
• Safeguarding your account credentials, device, SIM, and mobile money PIN
• Any and all financial disputes with your customers or your network operator
• Ensuring you are authorised by your network operator to operate as an agent or merchant in your jurisdiction
• Complying with all applicable laws, including those of Ghana and any other country in which you use the Service

5. No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of defects. We do not warrant that transactions automated or logged by Swiftvend will always match your mobile network operator's records.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWIFTVEND AND ITS DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF FLOAT, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR GHS 100, WHICHEVER IS GREATER.

7. Transaction Accuracy

Swiftvend makes a good-faith effort to accurately log mobile money transactions by reading incoming SMS messages from recognised financial shortcodes. However, Swiftvend does not guarantee that its transaction records are complete, accurate, or real-time. The authoritative record of any mobile money transaction is the record maintained by the relevant mobile network operator. In the event of a discrepancy between Swiftvend's records and the operator's records, the operator's records prevail.

8. Data & Privacy

Our collection, use, and storage of your data is described in our Privacy Policy, which is incorporated by reference into these Terms. Key points:

• Your mobile money PIN is never transmitted to our servers
• Incoming SMS messages are processed on your device; only the extracted transaction details are stored
• All data sync occurs over encrypted HTTPS connections
• You can request deletion of your data at any time via our Account Deletion page

9. Permitted Use

You agree not to use the Service to:

• Conduct fraudulent, deceptive, or criminal transactions
• Launder money or finance prohibited activities
• Evade any legitimate obligation to your mobile network operator or regulator
• Impersonate another person or business
• Automate transactions in a way that violates your agent agreement with your network operator

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections relating to limitation of liability, disclaimers, and governing law survive termination.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of Ghana, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Ghana.
